Ayal Bainvoll
Ayal Bainvoll is a seasoned transactional attorney who combines legal acumen and interpersonal skill — allowing him to form strong, lasting relationships with his clients. With a focus on efficient project management, Ayal oversees all aspects of a deal from structuring and negotiation to closing. He values early involvement, advising on term sheets and the structuring of investment vehicle documents such as syndications, joint ventures, funds, partnerships, and tenants-in-common.
He has established expertise in drafting and negotiating a wide range of corporate and commercial agreements such as purchase agreements, private placement memoranda, limited partnership agreements, side letters, shareholder agreements, and loan documents. Ayal also takes pride in guiding organizations through the process of obtaining 501(c)(3) status.
Before founding Magen Law Group, Ayal was a partner in the real estate group at Raines Feldman Littrell LLP. He began his legal career as a corporate associate at Simpson Thacher & Bartlett LLP, focusing on M&A, private funds, and credit transactions. Prior to practicing law, Ayal worked at a leading New York-based real estate development firm and founded a successful DJ and entertainment company.
A Los Angeles native, Ayal has built deep roots in the city. Outside of work, he’s an avid tennis player, scuba diver, and devoted Clippers fan. He enjoys wine collecting, travel, and supporting causes that reflect his values. Above all, Ayal is a proud father of three.

Represented prominent real estate investment syndicator in $83 million acquisition of industrial building and joint venture with a leading U.S. real estate investment management firm.

Represented a leading private equity sponsor in its acquisition of a $42 million loan secured by a prominent shopping center.
Advised and guided many first time real estate sponsors through the syndication, joint venture, and fund formation process.
Successfully negotiated high stakes baseball arbitration to avoid litigation.
Represented purchaser in connection with the acquisition of 18 industrial buildings totaling approximately 445,559 square feet located on 25.6 acres of land in Fort Worth, Texas.
Represented sellers and buyers in connection with the sale and leasing of triple net (NNN) retail properties, industrial buildings, nursing homes, multi-family and residential property, office buildings and condos, land, government leased space, office buildings, affordable housing developments in Los Angeles, California.

Daniel Galdjie
Daniel Galdjie focuses his legal practice on real estate transactions, estate planning, and general business litigation. For more than a decade he has sourced, structured, and closed multifamily, mixed-use, hospitality, retail shopping center, and single-tenant NNN transactions. He advises on projects from entitlement and financing through construction, leasing, and long-term management or disposition. That same drafting discipline supports select high-net-worth clients on family law and estate planning instruments and on bespoke partnership and operating agreements — bringing business savvy to personal planning and entity structuring.
Daniel is a principal at Cyrus Pacific, LLC, a real estate development and investment firm specializing in multifamily properties across Southern California. In his practice, Daniel guides investors, developers, and family offices on acquisitions, joint-venture structuring, commercial leasing, and complex §1031 and reverse-exchange planning — delivering clear, business-focused guidance at every stage of the deal. He is also the driving force behind the vision for The Aliza Hotel in Venice — an innovative boutique property developed by Cyrus Pacific.
Prior to founding Cyrus Pacific Law, Daniel served as in-house counsel for Westland Real Estate Group, contributed to the Harrison Institute’s Housing and Community Development Clinic at Georgetown Law, and clerked with the Los Angeles County District Attorney’s Office.
